There’s a color stabilizer in AE… you might want to check that first.

Are you just applying Looks Suite, or also the Magic Bullet de-interlacing component?
If you also use the Magic Bullet component, make sure you apply it directly to the source footage.

First of all, to have a usable alpha channel, you’ll need to make sure that your background is actually transparent. Switch on the transparency grid (in the bottom of the Comp Viewer), and make sure you see the grid where you want the comp to be transparent.
Upon exporting, make sure you select a codec that supports an alpha channel. Quicktime Animation is one, so is PNG compression.
In the output module select RGB+Alpha, and make sure you render to “millions of colors +”.
Note the “+” there. It means an alpha channel will be included.

Make sure that the image sequence is interpreted with the correct framerate, and that the comp settings match.
First check the image sequence framerat in the footage interpretation window, and then drag the image sequence in the project window onto the ‘new composition’ button. It will create a new comp matching exactly the properties for the image sequence.

If the noise is in the matte, then increasing the matte contrast by pulling the levels as suggested will help.
It sounds though as if you’re seeing amplified noise caused by spill removal. See if disabling the spill removal in Keylight helps.
FWIW – I usually apply a pass of Remove Grain before keying.

Yes, you should be able to import a Premiere 6.0 project into AE, as long as all the source files are brought along.

I’ve done it in Audition, but that’s not your question.
It can’t be done in AE, and I’m not 100% sure about Premiere. Importing DV into a DV timeline and rendering to DV doesn’t cause recompression (unless effects or processing are added). But in your case I think you’ll see recompression.Bar3nd
