OK, so your problem is that you can’t open those AVI in your mac because you don’t have the necessary QT Components.
Install “Perian”, and try again with MPGStreamclip.

You need to duplicate the preset in order to tweak it.
The copy will appear down on the “Custom Settings” folder.

Having a deeper look to Larry Jordan workflow, I see even more problems.
Those MP4 only are “Isma Profile” MP4, so they don’t allow to export H264/Mp4 that is a much higher quality option. Only allow to export an old fashioned Mp4 codec (QT.6 compatible).
So forget about that “Share” workflow, and use QT Pro for the MP4 compression.Open your file with QT, select Mp4 and set it more or less like this:
Then, in the “Video Options”, select Multipass.
Set the data rate according with the picture size.
Audio AAC 128Kbps (or better) and “Enable Streaming”.

No, avoid the downscaling with FC.[Sascha Engel] “1.) Export as HD from FCP and then doing the downscaling in compressor in the same run than encoding it to MPEG2.

It won’t be much no difference, but always make the downscaling with the “Frame Control ON” and best for the filter.[Sascha Engel] “4.) Downscaling in After Effects, and then encoding SD result from AE in Compressor to MPEG2.”
I remember making some tests in AE, and was not much satisfied, but I may have missed something because I have no much experience with AE.
Why don’t you make a short test downscaling the same clip with FC, AE, Compressor and MOTION (Lanczos)?
Then use the one you think is better for the downscaling and make the MPEG-2 with Compressor?

you should know which is your sequence size, and if the footage has been downscaled.
have a look to the Sequence Settings and to the Motion tab (size) of any clip on the timeline.

And which computer?
How much RAM?
How is your sequence (layers, effects,..)?
there are many factors on the RT performance of a system.
But you don’t really need full RT when editing; if some frames drop snow and them, you won’t ven notice it.
What is really annoying is the window warning of dropping frames/
Do as my self and uncheck the “Warn next time on dropped frames”.

Your post is confusing, but, by the post subject, I understand that you have some “mpeg”.
The problem with the audio, I guess, is because they have “MP2” audio and QT/FC don’t take that.
Try MPGStreamclip which is able to deal with MP2.
Convert to Prores (unscaled) with Uncompressed 48Khz audio.

As Michael say, is an issue with the K-Frames.
I saw his page and the still shows “Key-frames Interval:120”.
That means that if you are dealing with 30fps stuff you get one key-frame every 4 seconds, and then the issue you are experimenting.120 frames interval for Key-frames is ridiculous, and I can’t understand why Mr Jordan is misleading everybody recommending that number. In fact he shouldn’t be recommending any number, because nobody can knows which is the best number for key-frames Interval.
Think that in standard MPEG-2 for DVDs, the usual is a Key-frame every 15 frame for NTSC and every 12 frames for PAL. Setting a key-frame every 120 frames you ensure that you will get crap.
So, which is the best number for key-frames?
Check “Key-frames: AUTO”, and let the application analyze the film and set the optimal key-frames number. This is why the “Multi-pass” compression is for.

I meant Color, no Compressor.I’ve rendered the file in Color with the “Broadcast Safe” filter ON and also in AE.
Imported back to FC, both files keep showing that spills on the underblacks.
In years I’ve never heard a single complain about legalizing with Color.
In the other hand, getting off-levels in AE is technically impossible, so the only conclusion I can reach is that FCs scope is faulty.
