If by that you mean the Project file then yes, you can open it in CS4. If you experience problems you can also create a new CS4 project and import the 1.5 project file.

I’m sorry to hear that.
If you rearrange your workspace such that all the tools appear save the workspace as a custom workspace. When/if the tools disappear, select a different workspace and then select your custom workspace again. Do the tools re-appear?
All this shouldn’t be necessary, and personally I am not experiencing it under XP x86 or Vista x64, but the fact that you’re experiencing it means something on your system is coming into play.
Perhaps one or more of troubleshooting tips will help.

I don’t think there ever was a way to add a description to a clip on the timeline. Perhaps you can use sequence markers for that purpose? (Sequence markers have a comment field.)

Can you successfully capture with software other than PPro?
Have a look at this page and hopefully you will spot something you haven’t tried in your troubleshooting.
