Thanks for all the info. Looks like I have it figured out with the TMPGEnc 4.0. I fixed the audio issue by making changing a setting in the program.
The quality looks great and sound also is good. I am going to convert from the free trial to the full program

I downloaded and used the trial copy of TMPGEnc. I was able to rip a DVD and the preview with in TMPGEnc included good video and audio, but when I imported to Adobe Premier CS3 the audio did not show up.

Any advice?
