Assuming you have the video in AE, you would create your text on one layer. Add a solid(cntl+y) and place that behind the text and use the mask tool to make it the size you need. Press MM and you can access the feather properties of the mask.
What you are trying to do is pretty basic, which leads me to believe you are just getting starting out with After Effects. You might want to check out this page(Todd Kopriva of After Effects compiled which has links to a lot resources and tutorials that will help when first learning this program.

The layer “Dimension 2” is set to a guide layer, is that what you want? If not, right click on it and uncheck “guide layer”. Then try your render.

I don’t know of any devices you could use, but you could put a text layer in your video, twirl open the text, “alt + click” the Source Text and put the following expression:
timeToTimecode(t = time + thisComp.displayStartTime, timecodeBase = 30, isDuration = false)
When you are creating the expressions if you click the arrow and check the global headings, you can choose from multiple time code formats.
That would put a timecode display in your window. You could even right click it and make it a guide layer and don’t even have to worry about turning it off when you render.

The updated file should automatically update in AE.

You don’t have enough RAM, 2 gigs isn’t enough to share between AE and your operating system. Few different things you could try. First, while holding down “shift” go to the edit menu -> Preferences. Now choose the heading “secret” and disable layer cache and set the purge frames to something like 15. You might be able to finish your render this way.
Alternatively, you could just render your sequence to a TIF sequence. And if it crashes, just go take a look at the last TIF rendered and start from there. Soon enough you will have the entire thing rendered, then just bring the TIF sequence into AE and render that to your final format.
Lastly, under the file menu, you could save & collect all your files, put the entire project on a thumb drive and find someone with a beefier system who could render out your final project.

Open the import dialogue, in the bottom right of the import file dialogue box is a pulldown “Import as”, change that from footage to composition now select the .psd file and import it.

I work on multiple systems all the time and being we are an Avid house, I use the Avid codec. It’s not exactly small, but compared to Animation or AVI it’s about 20% the size and gives really good quality. If you can’t transfer and link your projects back up, you might want to try it.

You need to stabilize the footage and there a number of ways to do that and a lot of resources you might be interested in(doing a google search for (stabilize and after effects will return a lot tutorials):
