Avid Technology Enters into Definitive Agreement to Be Acquired by an Affiliate of STG for $1.4 Billion

Stockholders to Receive $27.05 Per Share in Cash

Transaction Represents 32.1% Premium to Avid’s Unaffected Share Price on May 23, 2023

Avid to Become a Privately Held Company Upon Completion of the Transaction

Avid® (NASDAQ: AVID), a leading technology provider that powers the media and entertainment industry, today announced that it has entered into a definitive agreement to be acquired by an affiliate of STG in an all-cash transaction valuing Avid at approximately $1.4 billion, inclusive of Avid’s net debt. Under the terms of the agreement, Avid stockholders will receive $27.05 in cash for each share of Avid common stock. The cash purchase price represents a premium of 32.1% over the Company’s unaffected closing share price on May 23, 2023, the last full trading day prior to media speculation regarding a potential sale of the Company.

Transaction Details

The transaction was unanimously approved by Avid’s Board of Directors and is expected to close during the fourth quarter of 2023, subject to Avid stockholder approval, regulatory approvals and other customary closing conditions. The transaction will be financed through a combination of equity and debt financing and is not subject to a financing condition. Upon completion of the transaction, Avid will become a privately-held company, and its common stock will no longer be traded on Nasdaq.

Second Quarter 2023 Results 

Avid today will announce its financial results for the second quarter of 2023, which ended on June 30, 2023. In light of today’s announced transaction, Avid is cancelling its previously scheduled earnings conference call.

  1. And so the speculation begins. ProTools seems secure, but Media Composer is of greatest interest to the film/video editing community. There is a reason feature film editors still favor Media Composer, and that includes key editing features no other platform has been able to match. And when I speak of “editing”, let’s make a distinction among the many aspects of post production in general which are too often included in “editing” as a blanket set of skills. For my purposes, editing refers to the processes needed to cut together the visual story line, not effects, not color grading, not audio mixing and finishing, and not compositing (all of which can be done with varying degrees of skill in any contemporary editing platform but frequently are better served by additional post specialists). Critics of Media Composer’s supposed “clunkiness” often lack real depth of knowledge about the tools in Media Composer. Seriously, the necessary tools to select shots and put them in a timeline are well understood and fairly universal at this point; but fine-tuning an edit is full of subtleties where MC excels. To me, it seems an ideal outcome might be integration of DaVinci Resolve and Media Composer to leverage respective strengths. I can’t speculate on how easy of difficult that would be to achieve, but in terms of industry focus, those are two power houses for story-telling and color grading. With the increasing rollout of ATSC 3.x, high dynamic range, use of various Log color systems and just generally greater sophistication in the color sphere, Resolve’s role is already growing. Just as importantly, Black Magic seems to have a sense of direction with both software and hardware peripherals and has improved quality and reliability on those fronts in order to address the needs of professionals. I don’t see that happening with Adobe and Premiere. From the standpoint of video needs, there are great alternatives to the much hyped utility of Photoshop and even InDesign (Affinity). And while After Effects is a robust tool, it still takes processes out of the main editing space. And despite AE’s capabilities, I have still found Avid’s paint tool a sometimes better tool for some features partially addressed in AE. Adobe is a grab bag that consequently becomes unfocused and relies on bulk purchases made by relatively uninformed purchasing parties. Adobe’s interfaces are often randomly changed, and the main goal seems to be to create Adobe slaves tied to eternal licensing and sneaky storage schemes. Sadly, the fate of editing at this point seems to be in the hands of investors, not users, and we have al experienced how that works in the past.
