Can you open the file in MPEG Streamclip or VLC player? If so, you could export it out from there in a different format.

Both Color and DaVinci will allow you pan/scan/distort your footage.
They are color correction. They don’t do titles. For that you can use FCP, Motion, After Effects, etc.
FCP can export out ProRes444 as your master.

First, why are you encoding/transcoding on a MacBook Air? Those are woefully underpowered machines for intensive CPU and GPU computations.
Second, look at the Matrox MXO2 Mini Max. It works with all popular NLE’s on the market Adobe, FCP7/FCPX, and Avid. It might be what you’re looking for to give your Air the necessary horsepower to get the job done:

Just to be clear, as an addendum to what Steve said, h.264 is not a good editing codec. As Steve said, It is a great codec for uploading a file to the web or passing a review copy back to a client for review. FCP does not play well with h.264 files for editing. It has no problem creating them, but FCP 7 doesn’t like to edit that format.
Editing wise FCP plays really well with ProRes. As long as that codec is installed on the PC attempting playback you should have no problems. You can download the codec from Apple’s website:

Michael is correct. It’s a shutter speed vs. lighting phase issue. That problem is related to your shutter speed that you shot at under those fluorescent lights. Assuming you’re in America you’ll want to stay at either a 1/60th shutter or 1/100th. In my experience those have greatly reduced or negated the problem. If you shoot at 1/50 or 1/80 or some other speed you’ll likely get the brown rolling lines in your footage.
Unfortunately, there’s no way to remove this in post. Re-shoting is really the only option.

Your question is a bit like asking – I wanna go fast what car should I buy?
How much do you want/have to spend? What type of footage do you edit – SD, HD, 2K, 4K? What codec do you use most often – RAW, ProRes, h.264, DNxHD, etc.? Do you prefer a Mac or Windows? Do you want to run other apps besides CS4/CS5? If so, which ones (Avid, FCPX, Smoke, Resolve, etc)? What version of CS4/CS5 do you have – Mac or Windows? I believe there’s still a small fee (shipping costs…maybe more) to cross grade from one system to the other.
All that to say, you’ll need to be more specific about what you want/need if anybody here is gonna be able to help.

FYI – Academic EULA (End User License Agreement…what everybody clicks “OK” to but never reads…) states that you will not use it on any for-profit projects. It’s intended for educational institutions and as such comes with restrictions for how you are supposed to use it.

Mark – the only difference between “academic” and “full” are the EULA’s. In the academic EULA you agree to not use the software for-profit. The full version is used for commercial projects (i.e. make $$$).
When buying new, the academic version is sold only to registered academic institutions at a deeply discounted price with the EULA that says you aren’t going to be cutting for-profit work on this NLE. Technologically, there is no difference between the two. Same software, same capabilities, same templates, same codecs, same import/export capabilities, etc.
As Scott said, be careful on fleabay. You don’t necessarily know what you’re getting (conditions of disc, serial #’s, etc.)
