You would need to apply your mask to a separate layer and parent that layer to the null object. Then use the masked layer as a track matte.

And I know of no way to go from CS5 to CS4. It’s always been tricky – if not impossible – to go from a newer version of AE to an older one. And since CS5 is 64-bit and CS4 is 32-bit, that makes it even more difficult.
I heard rumors that someone at one of the AE scripts websites was working on a script to do that, but have yet to hear anything solid on it.
